Terms & Conditions
These Terms & Conditions apply to all greenhouse construction and installation services provided by Far Out Sprouts Greenhouses (“the Contractor”) to the customer (“the Client”).
1. Scope of Work
The Contractor will supply materials and complete the greenhouse build as described in the accepted quote. Any work not listed in the quote is considered a variation and may incur additional charges. All drawings, measurements, and specifications form part of this agreement.
2. Client Responsibilities
The Client must ensure the construction site is clear, level, accessible, hazard‑free, and suitable for the greenhouse. The Client must disclose all underground utilities; the Contractor is not responsible for damage to undisclosed services. Reasonable access to power and water must be provided if required.
3. Pricing & Payment
A 50% payment is due at the time of material delivery to the Client’s site. The remaining 50% is due upon completion of the Project unless otherwise agreed in writing. Late payments may incur administrative fees. All prices include GST unless stated otherwise.
4. Variations & Additional Costs
Any changes requested by the Client must be agreed to in writing before work proceeds. Variations may affect the final cost and timeline. Additional charges may apply for unforeseen site preparation, Client‑caused delays, or design changes.
5. Timeline & Delays
Start and completion dates are estimates only and may vary due to weather, supply delays, site issues, or other factors outside the Contractor’s control. Significant delays will be communicated where possible.
6. Materials & Substitutions
Materials will meet the specifications outlined in the quote. If a material becomes unavailable, the Contractor may substitute an equivalent product of similar quality. The Client will be notified of any significant substitutions.
7. Workmanship Warranty
The Contractor provides a 24‑month workmanship warranty from the date of completion. This warranty excludes damage caused by misuse, neglect, improper maintenance, extreme weather, third‑party modifications, or normal wear and tear.
8. Liability
The Contractor is not liable for losses resulting from delays outside their control, damage caused by pre‑existing site conditions, or damage occurring after handover. The Contractor’s total liability is limited to the value of the contract.
9. Cancellations
If the Client cancels after materials have been delivered, the Contractor may retain the 50% payment to cover costs incurred. If the Contractor cancels due to safety concerns, non‑payment, or other reasonable grounds, the Client will be refunded for any work not completed.
10. Health & Safety
The Contractor will comply with all relevant New Zealand health and safety regulations. The Client must keep children, pets, and other individuals away from the work area during construction.
11. Ownership of Materials
All materials supplied by the Contractor remain the Contractor’s property until full payment is received. If payment is not made, the Contractor may remove installed materials or structures.
12. Dispute Resolution
Both parties agree to attempt to resolve disputes through good‑faith discussion. If unresolved, disputes may be referred to mediation before legal action is taken.
13. Governing Law
These Terms & Conditions are governed by the laws of New Zealand.
14. Force Majeure (Acts of God)
The Contractor is not liable for delays or failure to complete the Project due to events beyond reasonable control, including severe weather, natural disasters, supply chain disruptions, government restrictions, pandemics, civil unrest, or utility failures. Timelines will be extended accordingly. If such an event continues for an extended period, the Contractor may suspend or cancel the Project, with refunds provided for any work not completed.
15. Consents, Approvals & Compliance
The Client is solely responsible for determining and obtaining any required building consents, resource consents, permits, or regulatory approvals. The Contractor may offer general guidance but does not provide legal or regulatory advice. The Contractor is not liable for delays, penalties, or costs arising from missing or incorrect consents. If construction must pause or change due to consent issues, the Client is responsible for all associated costs.
16. Service Area
Greenhouse projects are available and priced exclusively for construction within the Greater Christchurch, New Zealand area. Work outside this area may be declined or may incur additional travel or logistical charges. Quotes assume the project site is within this area unless stated otherwise.
